Open Text Software License and Support Agreement (“License”) This License applies to the object code of the non-hosted software set forth in the Quote (as defined herein) and accompanying product documentation (“Documentation”), including items delivered to you by us under the maintenance and support services provided hereunder ("Software"). By downloading or installing the Software, you agree to be bound by the terms of this License which will govern your use of the non-hosted Software. This License shall be effective as of the date set forth on the Quote. Any hosted software set forth in the Quote shall be solely governed by the license agreement that you accept when you access the hosting system. 1. License 1.1 Open Text, Inc. (hereinafter "Open Text") grants you a non-exclusive, non-transferable, perpetual (unless you are licensing Software under Section 1.8) license to make, install and use the number of copies of the Software you have licensed in accordance with the component definitions and subject to any restrictions for the Software being licensed (as shown in the applicable Appendix and Quote), provided such use shall be limited to your internal business operations. Copies of the Software beyond the number licensed, outside of the designated platforms or parameters, or beyond the maximum number of Processing Units require payment of additional license fees. Unless otherwise expressly provided in the quote which identifies the Software to be licensed subject to the terms of this License (the “Quote”), the Software licensed shall be available to you, your agents and subcontractors who are providing services for you and not any affiliate or subsidiary. The Software may only be used in the country(ies) specified in the applicable Quote, and if no country(ies) is/are specified, then the country of use shall be the country where your address on the applicable Quote is located. 1.2 To the extent the Software include third party code: if (a) such third party code is provided for use with the Software licensed hereunder, it may be used only with such Software; and (b) the Documentation contains a “license.txt” file which outlines the third party code and open source code which are incorporated into the Software and any terms related to the third party code and open source code of which we are obliged to advise you; such terms will not (i) negate or amend the rights granted by Open Text to you or the obligations undertaken by you in this License with respect to the Software licensed; or (ii) impose any additional restrictions on your use of the Software. To the extent open source technology is included as part of the download of the Software, this License does not modify or abridge any rights or obligations you may have related to the open source technology under applicable open source licenses.. 1.3 You may make one copy of the Software you have licensed for cold back-up purposes only in support of the permitted use. The copy must reproduce and include Open Text's copyright notice. 1.4 You may not permit third parties, other than your agents or subcontractors who are providing services to you for your internal business operations, to access or use your databases using the Software, and in no event shall you use the Software for purposes of operating a service bureau or in an outsourcing environment. 1.5 You are not permitted to rent, lease, sub-license, loan, copy, modify, adapt, merge, translate, reverse engineer, decompile, disassemble or create derivative works or otherwise try to derive any source code from object code (except as permitted by law) based on the whole or any part of the Software or its Documentation. 1.6 Upgrades to the Software, or any component part of the Software, are governed by the terms of this License. 1.7 You are not permitted to make use of the Software for the purpose of reducing or avoiding the license fees that you, your employees, or third parties would otherwise be obligated to pay to Open Text. Use of pooling or multiplexing software or hardware does not reduce or eliminate the need to acquire licenses equal to the number of distinct inputs to the multiplexing or pooling software or hardware "front end." 1.8 If this is a "Not for Resale" or "NFR" License, you are only permitted to use the Software for demonstration, test, or evaluation purposes outside of any production environment through the period authorized by Open Text. 2. Termination Open Text may terminate the licenses to Software if you fail to pay any applicable license fees due for such Software within 30 days after receipt of written notice from Open Text of nonpayment or terminate all licenses of Software if you commit a material breach of this License and fail to correct the same within 30 days after you are notified in writing of the breach. Upon termination you agree to deinstall and stop using the Software and upon Open Text’s request certify destruction of all copies of the Software and its Documentation, including any Software stored on any computer under your control or return such Software to Open Text, together with all copies and related Documentation. 3. Maintenance and Support 3.1 First-year maintenance and support must be purchased for all Software licenses, and the maintenance and support fee must be initially paid with the license fee. Maintenance and support shall automatically renew for successive one-year periods unless terminated by either party with written notice to the other at least thirty (30) days before the relevant anniversary of the Effective Date. The maintenance and support fee shall be non-refundable and shall be subject to an annual increase of up to ten percent (10%). Open Text may change its terms for maintenance and support, to be effective upon anniversary date of the maintenance and support. Open Text reserves the right to discontinue maintenance and support for Software where Open Text generally discontinues such maintenance and support to all licensees of that Software. If you terminate maintenance and support and then re-enroll Open Text may charge you a reinstatement fee, equal to two times the maintenance and support fee payable during the period in which maintenance and support was permitted to lapse plus the annual maintenance and support fee payable for the next year in advance. The reinstatement date shall then be considered the anniversary date for annual support renewal. If you have purchased and paid for maintenance and product support, Open Text will provide you with access to all new releases, modifications, refinements, corrections, updates, upgrades, improvements and enhancements (collectively “Enhancements”) generally made available as a part of the Software and which are not separately priced or marketed. Maintenance and product support does not include: (i.) support outside of the specified days and hours; (ii.) support for the design, development, and/or creation of specific solutions and/or the creative use of Software to solve specific problems; (iii.) on-site support; (iv.) training; or (v.) hardware and related supplies. 3.2 Upon detection of any error in the Software, you agree to provide Open Text a listing of output and any other data, including databases and backup systems, which Open Text reasonably requests in order to reproduce operating conditions similar to those present when the error occurred. 4. Invoices Open Text shall invoice you for the license and first-year annual maintenance and product support fees upon execution of this License. The annual maintenance and product support fee shall be invoiced prior to the relevant anniversary every year thereafter. For Software delivered electronically, upon request, you agree to provide Open Text with confirmation of receipt of the Software and Documentation. Unless otherwise provided in the quote, all payments shall be due thirty (30) days from the date of invoice. Payments on amounts not received when due shall accrue interest at the lesser of one and a half (1.5) percent or the highest amount permitted by law, per month until paid. All payments under this License are exclusive of all applicable taxes, which shall be paid by you (other than taxes on Open Text's 's income), and all payments shall be in U.S. Dollars. All Software is licensed FCA (“Free Carrier” as per Incoterms 2000) shipping point. The Software is deemed accepted on the date of the Quote, however, such acceptance will not affect the warranty provided in Section 8 of this License. 5. Use of Name Open Text may use and publish your name in its customer lists, lists of referrals for other customers (or potential customers), and in other promotional information, including, but not limited to, press releases, brochures, reports, letters, white papers, and electronic media such as e-mail or Web pages. You may not publicly reference or publish benchmark studies of the Software or Documentation without Open Text’s prior written consent. 6. Proprietary Rights and Confidentiality Metastorm retains all right, title and interest to the Software and all related intellectual property and proprietary rights. The Software and any third party software provided with the Software are protected by applicable copyright, trade secret, industrial and other intellectual property laws. You may not remove any product identification, copyright, trademark or other notice from the Software or Documentation. Open Text reserves any rights not expressly granted to you. “Confidential Information” means all proprietary or confidential information that is disclosed to the recipient (“Recipient”) by the discloser (“Discloser”), and includes, among other things (i) any and all information relating to products or services provided by a Discloser, its financial information, software code, flow charts, techniques, specifications, development and marketing plans, strategies, and forecasts; (ii) as to Open Text, and its licensors, the Software and any third party software provided with the Software; and (iii) the terms of this License, including without limitation, pricing information. Confidential Information does not include information that Recipient can show: (a) was rightfully in Recipient’s possession without any obligation of confidentiality before receipt from the Discloser; (b) is or becomes a matter of public knowledge through no fault of Recipient; (c) is rightfully received by Recipient from a third party without violation of a duty of confidentiality; (d) is independently developed by or for Recipient; or (e) is required to be disclosed by applicable law or court order provided, however, that the Recipient of the information shall first have given prompt notice to the Discloser to allow an opportunity to interpose an objection or obtain a protective order requiring that the Confidential Information so disclosed be used only for the purposes for which the order was issued.. Recipient may not disclose Confidential Information of Discloser to any third party or use the Confidential Information in violation of this License. 7. Infringement Claims If a third party asserts a claim against you asserting that your use of Software in accordance with this License violates that third-party’s patent, trade secret or copyright (“Infringement Claim”), then Open Text will, at its own expense: (a) defend or settle the Infringement Claim; and (b) indemnify you for any damages finally awarded against you, but only if: you promptly notify Open Text of any Infringement Claim, Open Text retains sole control of the defense of any Infringement Claim and all negotiations for its settlement or compromise, and you provide all reasonable assistance requested by Open Text. Open Text's’s obligations above will not apply if the Infringement Claim is based on (i) the use of the Software in combination with products not supplied or approved by Metastorm in writing or in the Documentation, or (ii) your failure to use any updates to the Software within a reasonable time after such updates are made available to you. If Metastorm believes the Software may violate a right, then Metastorm will, at its expense: (a) modify the Software, or (b) procure for you the right to continue using the Software, and if (a) or (b) are not commercially reasonable, terminate your right to use the Software and issue a refund based upon the applicable license fees paid, prorated over 36 months from the date of the Quote under which the Software is initially licensed. This section contains your exclusive remedies and Metastorm’s sole liability for Infringement Claims. 8. Limited Warranties 8.1 Open Text warrants that the medium on which the Software is supplied will be free from defects in materials and workmanship under normal use for a period of 90 days after the date of original purchase ("the Warranty Period"). If a defect in the medium shall occur during the Warranty Period it may be returned with proof of purchase to Open Text who will replace it free of charge. 8.2 Open Text warrants that during the Warranty Period, the Software will perform substantially in accordance with its Documentation (provided that the Software is properly used on the computer and with the operating system for which it was designed). Open Text 's entire liability and your exclusive remedy for a breach of the above warranty shall be, at Open Text 's option to either (a) use commercially reasonable efforts to remedy the defects or replace the Software and/or Documentation within a reasonable period of time; or (b) accept your return of the Software and Documentation and return the license fee paid. Open Text’s obligations are conditioned upon you providing Open Text written notice of the claim during the Warranty Period and full cooperation and access to the Software in resolving any claim. 8.3 Open Text warrants that the maintenance and product support provided pursuant to this License shall be performed in a professional and workmanlike manner. 8.4 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OPEN TEXT DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. METASTORM DOES NOT WARRANT THAT SOFTWARE OR SERVICES PROVIDED HEREUNDER WILL SATISFY YOUR REQUIREMENTS, ARE WITHOUT DEFECT OR ERROR, OR THAT THE OPERATION OF THE SOFTWARE (INCLUDING ANY ENHANCEMENTS) WILL BE UNINTERRUPTED. METASTORM DOES NOT ASSUME ANY LIABILITY WHATSOEVER WITH RESPECT TO ANY THIRD PARTY HARDWARE, FIRMWARE, SOFTWARE OR SERVICES. 8.5 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR BREACH OF PROPRIETARY RIGHTS AND CONFIDENTIALITY, IN NO EVENT SHALL EITHER PARTY, OR ANY OF ITS OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, LICENSORS, OR OTHER REPRESENTATIVES, BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER, RELATING TO OR ARISING OUT OF THIS LICENSE, MAINTENANCE AND PRODUCT SUPPORT, OR THE SOFTWARE, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL OR OTHER CONSEQUENTIAL LOSSES ARISING FROM USE OR INABILITY TO USE THE SOFTWARE OR SERVICES OR FROM ERRORS OR DEFICIENCIES IN THE SOFTWARE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE PRECEDING LIMITATION MAY NOT APPLY TO YOU. EXCEPT IN THE CASE OF INFRINGEMENT, OPEN TEXT'S LIABILITY FOR DAMAGES ARISING OUT OF OR RELATING IN ANY WAY TO THIS LICENSE SHALL IN NO EVENT EXCEED THE AMOUNT WHICH HAS BEEN PAID TO OPEN TEXT BY YOU HEREUNDER. THIS LIMITATION OF LIABILITY APPLIES REGARDLESS OF WHETHER LIABILITY IS BASED ON NEGLIGENCE, BREACH OF CONTRACT, TORT, STRICT LIABILITY, BREACH OF WARRANTIES, FAILURE OF ESSENTIAL PURPOSE OR OTHERWISE. 9. Miscellaneous 9.1 Severability. If any term or provision of this License shall be found by a court of competent jurisdiction to be invalid, illegal or otherwise unenforceable, the same shall not affect the other terms or provisions hereof or the whole of this License, but such term or provision shall be deemed modified to the extent necessary in the court’s opinion to render such term or provision enforceable, and the rights and obligations of the parties shall be construed and enforced accordingly, preserving to the fullest permissible extent the intent and agreements of the parties herein set forth. 9.2 Law. The laws of the State of Maryland govern this License without regard to conflicts of laws provisions. You agree that the courts of the State of Maryland have exclusive jurisdiction over any action arising out of or relating to this License, the services or your use of the Software. 9.3 US GOVERNMENT RESTRICTED RIGHTS. Use, duplication or disclosure of the Software by an agency, agent, unit, or instrumentality of the United States Government is subject to restrictions set forth in subparagraphs (a) through (d) of the Commercial Computer-Restricted Rights clause at FAR 52.227-19 when applicable, or in subparagraph (c)(l)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013, or at 252.211-7015, or to Open Text 's standard commercial license, as applicable. 9.4 Audit. If requested by Open Text not more than once a year, you agree to deliver to Open Text periodic written reports, whether generated manually or electronically, specifying your use of the Software, and allow Open Text to perform an audit at your facilities during normal business hours to ensure compliance with the terms of this License. You agree to cooperate during any audit and to provide reasonable access to information and systems. If an audit reveals that you have exceeded the licensed capacity for any Software, you agree to pay the applicable fees for additional capacity. 9.5 Export Controls. You will cooperate with Open Text to ensure compliance with the laws and regulations of the United States and all the relevant countries, relating to exports (including “deemed” exports and “deemed” re-exports as defined by the Export Administration Regulations) and re-exports (“Export Laws”). You may not import, export, re-export or transfer, directly or indirectly, including via remote access, any part of the Software or Documentation in violation of any such laws and regulations, or without any written governmental authorization required under applicable laws. In particular, but without limitation, none of the Software or the underlying information or technology may be downloaded or otherwise exported or re-exported, directly or indirectly, (a) into (or to a national or resident of) Cuba, Iran, North Korea, Syria or Sudan; (b) to anyone on the US Treasury Department’s list of Specially Designated Nationals or Other Blocked Persons, the US Commerce Department’s Denied Parties List, the US Commerce Department’s Entity List, or the US Commerce Department’s Unverified List; or (c) to or for any proliferation-related (nuclear weapons, missile technology, or chemical/biological weapons) end use. 9.6 Miscellaneous Terms. Open Text is not liable for its failure to perform any obligation hereunder during any period in which performance is delayed by circumstances beyond its reasonable control. A waiver by a party of any breach of any term of this License will not be construed as a waiver of any continuing or succeeding breach. You may not assign or transfer this License to a third party, whether by merger or otherwise. Should any term of this License be invalid or unenforceable, the remaining terms will remain in effect. The parties acknowledge they have read this License and agree that it is the complete and exclusive statement of the agreement and supersedes any prior or contemporaneous negotiations or agreements, between the parties relating to the subject matter hereof. This License may not be modified or rescinded except in writing signed by both parties. You expressly acknowledge and agree that any terms or conditions set forth in a purchase order will not apply. The prevailing party in any litigation is entitled to recover its attorney’s fees and costs from the other party. MBPM APPENDIX If you have licensed MBPM Software or a component thereof: 1. The MBPM Software components shall be defined as follows: (a) Metastorm BPM® Users must be either Full or Named Users or Guest Users; (b) Full Users must be licensed by Business Application; (c) Guest Users use is only allowed via Metastorm Public Access, both Guest Users and Metastorm Public Access must be licensed by Business Application, and Guest Users are not individually identified in the Software; (d) Business Application is a license to build and deploy BPM to address a specific business function process or set of functions within a process; (e) Standard Enterprise Server must be licensed per installed machine is restricted to a maximum of 1,000 unique Named Users; (f) Power Enterprise Server must be licensed per installed machine is restricted to a maximum of 2,500 unique Named Users; (g) Universal Enterprise Server must be licensed per installed machine has an unlimited number of Named Users; (h) Development or Test Server must be licensed by installed machine outside of the production environment; (i) Metastorm Designer Simulation allows simulations to be run off of models built in Metastorm Designer, supplied as part of the Metastorm Designer, but requires purchase of Metastorm ProVision or Metastorm ProVision BPA for each Metastorm Designer that Metastorm Designer Simulation will be used with; (j) Power Designer User must be licensed by Named User; (k) Metastorm Designer User allows for definition or mapping of a Business Application; (l) Metastorm BPM Clients for Office and JSR 168 Portals is licensed per installed machine; (m) Metastorm BPM® includes the Metastorm Smart Business Workspace (“MSBW”) Server (licensed per installed machine, irrespective of the processing capacity of the system); (n) MSBW Server may be used solely in conjunction with your authorized use of Metastorm BPM®, Metastorm Knowledge Exchange® or Metastorm Integration Manager™. 2. Metastorm BPM Software incidental telephone, (US +1 (443) 874 1301 and International +44 (0) 208 971 1600) and e-mail (helpdesk@metastorm.com) support is available between the hours of 4:00 a.m. and 8:00 p.m., Eastern Time, Monday through Friday, excluding holidays, to assist you in installing, configuring, supporting, and using the Software. You shall specify two (2) designated contacts by completing this Section and faxing it back to the Help Desk at +1 (443) 874 1336. Your communications with the Help Desk will be through the designated contacts. You may change a designated contact by providing written notice to Open Text. The MIM Software components shall be defined as follows: (a) Metastorm Integration Manager™ (MIM) Enterprise Server: At least one MIM Enterprise Server license is required to manage one or more MIM Integration Server (MIM IS) or MIM Managed File Transfer (MIM MFT) nodes within an enterprise. If you implement and manage multiple separate and discreet deployments of MIM IS or MIM MFT networks, then each discreet or separate deployment requires at least one license of a MIM Enterprise Server. MIM Enterprise Server licenses are available for IBM z/OS or Distributed Systems (i5/OS, Solaris, AIX, HPUX, Windows, Linux(x86)) and are licensed per installed machine, irrespective of the processing capacity of the system; (b) MIM Integration Server for IBM z/OS and MIM Managed File Transfer Node for IBM z/OS require a MIM Enterprise Server license and must be licensed per Value Unit Exhibit; (c) MIM Integration Server for Distributed Systems, MIM Managed File Transfer Node for Distributed Systems, MIM Managed File Transfer Entry Package, and Metastorm Integration Manager (MIM MFT and MIM IS) for HP NonStop (Integrity) require a MIM Enterprise Server license and must be licensed per CPU Core (irrespective of whether the system is running WebSphere MQ Queue Manager or MQ Client configurations). Distributed Systems includes the following Operating Platforms: i5/OS, Solaris, AIX, HPUX, Windows, Linux(x86). The exact version of operating systems may change from time to time and is published in the Supported Environments document of a particular product release and is available on the Metastorm Customer Zone; (d) MIM Workbench (Windows only) must be licensed per installed machine for MIM for CICS, MIM Integration Server, MIM Managed File Transfer or Managed File Transfer Entry Package; (e) MIM Development or Test License for the components in (a) through (d) requires a corresponding full license and is licensed on the same basis as shown above, but is restricted to use outside of the production environment; (f) MIM for CICS must be licensed per Value Unit Exhibit and includes a license of MIM Enterprise Server to exclusively support the management and monitoring of MIM for CICS processes; (h) MIM Development or Test License for the components in (f) requires a corresponding full license and is licensed on the same basis as shown above, but is restricted to use outside of the production environment; and (i) MIM Integration Server and MIM Managed File Transfer Node for Linux on System z require a MIM Enterprise Server license and is licensed per each logical Integrated Facility for Linux (IFL). (j) Metastorm Integration Manager™ includes the Metastorm Smart Business Workspace (“MSBW”) Server (licensed per installed machine, irrespective of the processing capacity of the system); (k) MSBW Server may be used solely in conjunction with your authorized use of Metastorm BPM®, Metastorm Knowledge Exchange® or Metastorm Integration Manager™. 2. The Software defined in (a) through (h) is licensed based on the highest observed daily number of Processing Units contained in each partition on which the Software is run, where Partition is defined as a logical or physical segmentation of a physical machine’s memory and other resources that allows it to run its own copy of the operating system and associated applications. Partitions allow multiple system images to run in one physical machine. Processing Units are the aggregation of CPUs on distributed (non mainframe) systems and Value Units on mainframe systems. A CPU is defined as a functional unit that interprets and executes instructions and that consists of at least an instruction control unit and one or more arithmetic and logic units. A Value Unit is defined by the following translation table: (a) To determine the applicable number of Value Units: (1) Determine the required license capacity, in Millions of Service Units (MSUs) (2) Aggregate the MSUs to be licensed across the enterprise (3) Convert the total MSUs to Value Units, using the translation table below, and (4) Multiply the price per Value Unit by the total number of Value Units to determine the total cost. Translation from MSUs to Value Units: MSUs Value Unit/MSU Base 1 - 3 1.00 Tier A 4 - 45 0.45 Tier B 46 - 175 0.36 Tier C 176 - 315 0.27 Tier D 316+ 0.20 The total number of Value Units is calculated according to the following example. If a client licenses 1000 MSUs, the applicable Value Units would be: (3 X 1.0) + (42 X 0.45) + (130 X 0.36) + (140 X 0.27) + (685 X 0.20) = 244 Value Units (b) You must purchase a dedicated license for each Processing Unit that is active (available for use) in the partition where a component of the Software is run, audit its usage on no less than an annual basis, and promptly purchase additional licenses for any increased usage. (c) The number of Processing Units you must license is the lesser of the total number of active Processing Units in the partition, or the sum of (1) and (2) as follows (any remaining fraction of a Processing Unit must be rounded up to the next integer): (1) When Software is run in partitions with dedicated Processing Units, the sum of Processing Units of those partitions, and (2) When Software is run in partitions that are members of a Shared Processing Pool, the smaller of: a) The number of Processing Units assigned to the pool, or b) The sum of the virtual processors of each uncapped partition plus the Processing Units in each capped partition running the Software. (d) You are also required to purchase a corresponding number of additional licenses if the Software is moved to a computer with a greater number of Processing Units or if any additional Processing Units are added to, or configured on, the computer on which the Software is installed. In multi-core technology that allows two or more Processing Units to be active on a single silicon chip, each Processing Unit is counted individually. In threading, a technique which makes a single Processing Unit seem to perform as two or more, the Processing Unit is counted as one. In blade technology, each "blade" is considered a separate computer and charging is based upon the number of Processing Units on the blade on which the Licensed Program is installed. (e) Where virtualization technology is used to enable multiple operating system images on one or more cores, each instance of a virtual operating system requires a license for each core to which it has access. 3. MIM Software incidental telephone (US +1 (443) 874 1301 and International +44 (0) 208 971 1600) and e-mail (helpdesk@metastorm.com) support is available on a twenty-four hours a day, seven days per week, 365 days per year basis to assist you in installing, configuring, supporting, and using the Software. You shall specify two (2) designated contacts by completing this Section and faxing it back to the Help Desk at +1 (443) 874 1336. Your communications with the Help Desk will be through the designated contacts. You may change a designated contact by providing written notice to Open Text. The ProVision Software components shall be defined as follows: (a) Metastorm ProVision is licensed per five-user pack on either a named user or floating user basis; (b) Metastorm ProVision Federal is licensed per five-user pack on either a named user or floating user basis; (c) Metastorm ProVisionBPA is licensed per five-user pack on either a named user or floating user basis; (d) Metastorm Knowledge Exchange® Server is licensed per server; (e) Additional Metastorm Knowledge Exchange connection fee for five-user pack requires a server license; (f) Metastorm Knowledge Exchange Standard License must be licensed per server and is restricted to a maximum of 10 users; (g) Metastorm Knowledge Exchange Power License must be licensed per server and is restricted to a maximum of 25 users; (h) Metastorm Knowledge Exchange Enterprise License must be licensed per server and is restricted to a maximum of 100 users; (i) Development or Test Server must be licensed by installed machine outside of the production environment; (j) Metastorm ProVision Connect for SAP Enterprise License must be licensed per number of client instances of SAP Solution Manager. (k) Metastorm ProVision Connect for SAP Global License is licensed per SAP Solution Manager Global template and includes one (1) Metastorm ProVision Connect for SAP Enterprise License. (l) Metastorm ProVision Connect for ARIS is licensed for either unidirectional or bi-directional integration to ARIS on a per customer basis. (m) Metastorm Knowledge Exchange® includes the Metastorm Smart Business Workspace (“MSBW”) Server (licensed per installed machine, irrespective of the processing capacity of the system); (n) MSBW Server may be used solely in conjunction with your authorized use of Metastorm BPM®, Metastorm Knowledge Exchange® or Metastorm Integration Manager™. 2. You shall specify two (2) designated contacts by completing this Section and faxing it back to the Help Desk at +1 (443) 874 1336. Your communications with the Help Desk will be through the designated contacts. You may change a designated contact by providing written notice to Open Text.
